The agreement covers Vantive’s hemodialysis concentrates, monitors, and water treatment systems, while its dialyzer portfolio stays in-house as the company sharpens its focus on home therapy and critical care.
Vantive has entered into a definitive agreement with Rockwell Medical to divest the majority of the assets and associated operations related to its hemodialysis business.
Vantive describes the transaction as a step toward a more focused, growth-oriented portfolio centered around chronic disease management and critical care intervention. The company says it will prioritize enabling more patients to receive therapy at home and selectively expand its kidney care platform to support a more integrated approach to organ failure in the intensive care unit.
“We see a significant opportunity to close the gap between the care we know is possible and the care patients and providers experience today,” says Chris Toth, CEO of Vantive, in a release. “Whether that care happens at home over many years or in the ICU during a critical moment, our goal is to help ensure the right therapy can be delivered at the right time, with greater confidence for care teams.”
Deal Scope and Timeline
Under the agreement, Rockwell Medical will acquire Vantive’s hemodialysis concentrates, HD monitors, and water treatment systems, together with related consumables and technical services. When the deal closes, ownership of Vantive’s manufacturing facility in Medolla, Italy, will transfer to Rockwell Medical to support capacity and continued development of the global hemodialysis business.
Vantive’s dialyzer portfolio is not included in the transaction. That portfolio includes the Theranova dialyzer, which enables expanded hemodialysis therapy.
The companies expect the transaction to close in mid-2027, subject to receipt of required regulatory approvals and satisfaction of other customary closing conditions. The release did not include financial terms.
Toth says Vantive is confident in Rockwell Medical’s ability to carry the business forward. “With a singular focus on hemodialysis, Rockwell Medical is deeply committed to accelerating the progress that our team has made,” he says in the release. He adds that Vantive is committed to working with Rockwell Medical through the transition to help ensure continuity of care and reliable access to products, services, and support for patients and care providers.
Rockwell Medical also framed the deal as a growth opportunity. “We believe this portfolio has significant opportunities for continued growth, and we look forward to bringing together complementary capabilities to better serve dialysis providers worldwide,” says Mark Strobeck, PhD, president and CEO of Rockwell Medical, in a release.
