The agreement gives Stryker exclusive US sales rights to CMR Surgical’s Versius robotic surgery systems and the option to acquire the company.

Stryker and CMR Surgical have formed a strategic alliance that includes an approximately $400 million preferred equity investment by Stryker in the UK-based robotics company, along with an exclusive US commercial agency agreement for CMR’s Versius Surgical Robotic portfolio. The deal also grants Stryker an exclusive option to acquire 100% of CMR Surgical’s outstanding equity in the future, subject to the agreement’s terms.

Under the arrangement, Stryker will serve as the exclusive US sales agent for the Versius portfolio, while CMR Surgical will continue to lead portfolio development and commercialization in markets outside the United States. The transaction is subject to regulatory approvals and customary closing conditions.

The alliance marks Stryker’s entry into soft-tissue robotics, an area the company has evaluated for several years as an adjacency to its existing endoscopy, visualization, and enabling technologies businesses.

A Platform Built for Operational Flexibility

CMR Surgical’s second-generation Versius robot supports a broad range of soft tissue procedures and features a modular architecture designed for flexibility across procedures, surgeon access, and sites of care. The platform is intended to help health systems scale robotic-assisted surgery programs within existing operating room workflows, including in hospitals and ambulatory surgery centers.

The companies positioned the alliance as a response to rising demand for robotic-assisted surgery, with the combined offering aimed at helping providers expand program capacity while preserving operational flexibility and long-term program economics.

“Soft-tissue robotics is a high-growth adjacency and a natural extension of Stryker’s strengths in endoscopy, visualization and enabling technologies. We have evaluated the segment carefully for years, and this alliance represents a thoughtful and disciplined entry that combines the complementary strengths of both companies,” says Andy Pierce, group president of medsurg and neurotechnology at Stryker, in a release. “We selected CMR Surgical and the Versius portfolio because of the opportunity to help healthcare providers grow robotic-assisted surgery adoption across a broad range of procedures in hospitals and ASCs.”

Pierce will join CMR Surgical’s board of directors as part of the agreement.

“This strategic alliance is a significant milestone for CMR and a strong endorsement of the technology, clinical experience and global business we have built,” says Massimiliano Colella, CEO of CMR Surgical, in a release. “Stryker’s investment will give us additional strength to accelerate innovation and the continued global expansion of the Versius portfolio, while its scale and deep customer relationships create a significant growth opportunity in the United States.”
